The terms that govern your use of Climatech Charger services, hardware, software, and charging network.

These Terms of Service (“Terms”) form a binding agreement between you and Climatech for Energy Solutions Co. (“Climatech”, “we”, “us”), a company duly registered in the Kingdom of Saudi Arabia. By accessing climch.com, using a Climatech charger, signing a quotation, or using our CPMS platform, you accept these Terms in full. If you do not agree, you must not use our services.
“Services” means the installation, supply, operation, maintenance, and software services we provide. “Charger” means any AC or DC EV charging unit supplied or operated by us. “CPMS” means our Charge Point Management System web and mobile platform. “Customer” means the entity or individual purchasing or using our Services. “Session” means a single charging event from connection to disconnection.
Quotations issued by Climatech are valid for thirty (30) days unless otherwise stated. A binding contract is formed only upon (a) signed acceptance of the quotation by the Customer and (b) Climatech's written confirmation. All purchase orders are subject to these Terms unless a separate signed master service agreement applies. Project scope, pricing, milestones, and timelines are as set out in the signed quotation or statement of work.
The Customer warrants that it has lawful right of access to the installation site and authority to commission electrical works. The Customer shall provide reasonable site access, accurate building drawings, and timely approvals from any third parties (landlord, municipality, SEC). Delays caused by the Customer's failure to provide access or approvals may result in change orders and additional charges.
All chargers we supply carry the original manufacturer's warranty (typically 2-3 years for AC chargers and 2 years for DC chargers). Climatech additionally warrants installation workmanship for twelve (12) months from commissioning. Warranties exclude damage caused by misuse, vandalism, force majeure, electrical surges from sources outside our installation, or unauthorized modification.
Maintenance services are provided under a separate Maintenance Contract specifying scope, response times, and SLAs. Standard SLA targets are: 24-hour response for non-critical faults, 4-hour response for total site outages within the Riyadh metro area, with extended response windows for other regions. Spare parts are charged separately unless covered by an active manufacturer warranty.
Use of the CPMS is subject to a separate subscription agreement. The Customer is responsible for the security of its CPMS credentials and all activity under its account. Climatech provides the CPMS “as is” with commercially reasonable uptime targets (99.5% monthly availability excluding scheduled maintenance). The Customer shall not reverse-engineer, resell, or sublicense the CPMS without written consent.
Drivers using public chargers operated by Climatech agree to: (a) use the chargers only with vehicles compatible with the connector type, (b) not damage, vandalize, or misuse the equipment, (c) move the vehicle promptly once charging is complete or the maximum dwell time is reached, (d) pay all applicable fees including occupancy fees after the grace period, and (e) follow all on-site safety signage. Climatech may suspend or terminate accounts for breach.
Project prices are stated in Saudi Riyals (SAR), exclusive of 15% VAT unless otherwise specified. Payment terms are 30% on order, 60% on delivery, 10% on commissioning, unless varied in the signed quotation. CPMS subscription fees and charging session fees are billed monthly. Late payments may attract interest at the maximum rate permitted by Saudi law. We reserve the right to suspend Services for accounts more than thirty (30) days overdue.
To the maximum extent permitted by Saudi law, Climatech's aggregate liability under any contract shall not exceed the total amount paid by the Customer under that contract in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, or special damages including loss of profit, loss of business, or loss of data. Nothing in these Terms limits liability for fraud, gross negligence, death or personal injury caused by negligence, or any liability that cannot be excluded under Saudi law.
Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including acts of God, war, terrorism, pandemics, government actions, SEC outages, or supply chain disruptions affecting hardware availability.
Each party shall keep confidential all non-public information received from the other party in connection with the Services and shall use it only for the performance of the contract. This obligation survives termination for three (3) years.
All intellectual property rights in the CPMS, our designs, and our methodologies remain with Climatech. The Customer is granted a non-exclusive, non-transferable license to use the CPMS for the duration of the subscription. Hardware ownership transfers to the Customer upon full payment.
Either party may terminate a contract for material breach not remedied within thirty (30) days of written notice. The Customer remains liable for all Services delivered up to the effective date of termination, plus any non-cancellable third-party costs incurred on its behalf.
These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation between senior representatives of the parties. If unresolved within thirty (30) days, disputes shall be referred to the competent courts of Riyadh, unless the parties agree in writing to arbitration under the Saudi Center for Commercial Arbitration (SCCA) Rules.
We may revise these Terms from time to time. The latest version posted at climch.com/terms applies to all new orders and the next renewal of recurring services. Material changes affecting active contracts will be communicated in writing.
